Attorney and Staff Biographies
Jeffrey
M. Heutmaker
has more than 19 years’ experience working
with entrepreneurs,
early stage businesses and established businesses in a variety of
industries, including software development, biotechnology, medical
and dental devices, manufacturing, power sports, internet commerce
and infrastructure, retail services and fitness.
He
assists early stage businesses with determining the appropriate
entity structure, forming entities and determining and documenting
the relationships among founders.
He also assists companies in identifying and
protecting their
intellectual
property assets,
licensing those assets to others and joint development and other
strategic arrangements. Jeff has substantial experience in financing
and securities law ranging from “friends and family” investment
rounds, to angel investors, venture capital and public offerings. He
also represents both buyers and sellers in merger and acquisition
transactions. Jeff also has substantial experience in international business and legal matters working with
companies in Canada, Western Europe, China, Japan, Taiwan and
Russia.
Prior to founding
HeutmakerLaw, pc,
Jeff was the founder of Catapult Technology Solutions, Inc., a
private consulting firm that focused its activities on developing
early stage technology based enterprises. From October 2001 to June
2002, he was the Chief Operating Officer of A4S Technologies, Inc.,
a developer of audio and video management software systems for
military and law enforcement applications. From June 1999 to May
2001, Jeff was the Vice President of Strategic Initiatives for Jore
Corporation, a publicly-traded $53 million manufacturer of power
tool accessories based in Ronan, Montana. At Jore, he managed the
company’s
intellectual property
portfolio, chaired the new products committee, negotiated several
strategic and licensing relationships and managed the IT department.
From September 1988 to June 1999, Jeff practiced law in
Seattle, Washington
where his practice focused on corporate finance and securities law,
mergers and acquisitions and licensing matters, beginning his career
with Bogle & Gates and most recently practicing with the firm of Van
Valkenberg Furber Law Group, P.L.L.C, a boutique corporate finance
firm.
Jeff
frequently speaks on topics related to forming, financing and
operating technology businesses. His past activities include
co-organizing and speaking at the
Montana Bar Association’s
CLE entitled ‘Commercializing Technology’ (January 2006), and
speaking at
Montana West Economic Development’s
seminar on raising capital for early stage
enterprises (April 2006).
He is an advisor to
the
TechRanch,
a technology business incubator in
Bozeman, Montana
that is affiliated with
Montana State University
and is a member of the advanced consulting team for
Montana Community Development
Corporation
in Missoula, Montana.
Jeff also serves on
as the President and a Director of the
Polson Youth Soccer Association, a non-profit organization.
Jeff holds
a B.A. degree from
the
University of Puget Sound
in Economics and English Literature
and a J.D. degree
from
Notre Dame Law School,
where he was an editor of the Law Review. He is a member of the
Montana Bar Association,
the
American Bar Association
and the
Washington State Bar Association (inactive).
Jeff lives in
Polson, Montana
with his four children. His interests include snow skiing,
fly-fishing, golf, basketball, soccer playing and coaching, reading
and helping businesses succeed.
